**Website:** https://flipitdigital.com
**Feature:** Seller Advertising & Bidding System
**Applies To:** All FLIPITDIGITAL Sellers participating in advertising auctions.

## 1. INTRODUCTION AND ACCEPTANCE

These Terms and Conditions for Advertisement ("Advertising Agreement") govern the participation of Sellers in the advertising and bidding system operated by FLIPITDIGITAL ("Platform", "FLIPITDIGITAL", "we", "us", or "our").

By participating in an advertising auction, placing a bid, or using a winning advertising allocation, the Seller ("you" or "Seller") agrees to comply with this Advertising Agreement.

This agreement is separate from the general FLIPITDIGITAL Seller Agreement. Both agreements apply to Sellers using the Platform.

Acceptance of this agreement is mandatory.

Sellers must read and explicitly accept these Terms and Conditions before they can participate in their first advertising auction.

By clicking I AGREE AND ACCEPT, the Seller confirms that they have read, understood, and accepted the rules, financial obligations, bidding conditions, and restrictions explained in this agreement.

## 2. ADVERTISING SYSTEM OVERVIEW

FLIPITDIGITAL provides Sellers with the opportunity to promote their existing marketplace listings through a competitive bidding system.

Sellers compete for advertising positions within specific marketplace categories and subcategories.

The advertising system consists of:

- Four advertising positions per eligible category or subcategory.
- Independent auctions for each position.
- A minimum opening bid of $3 USD.
- A minimum subsequent bidding increase of 10%.
- A fixed auction duration of 24 hours.
- A winning advertising allocation lasting up to 15 days.
- Seller-funded advertising payments.
- Advertising placements displayed within the relevant marketplace section.

Each advertising position is independent. Winning one position does not grant the Seller advertising rights in another position, category, or subcategory.

For example, winning PUBG Mobile position #1 gives the Seller the right to advertise an eligible PUBG Mobile listing in that specific position. It does not allow the Seller to use that allocation for Fortnite, Rocket League, or another game.

Homepage advertising placements are not included in the current advertising system and may be introduced separately in the future.

## 3. ADVERTISING POSITIONS AND AUCTIONS

Every eligible category and subcategory has four independently auctioned advertising positions:

- Position #1
- Position #2
- Position #3
- Position #4

Each position has its own auction and winning Seller.

### 3.1 Starting an Auction

Any eligible Seller may initiate an auction for an available advertising position by submitting the first valid bid.

The minimum opening bid is $3 USD.

Once the first valid bid is accepted by the Platform, the 24-hour auction countdown begins automatically.

A Seller does not need permission from another Seller to initiate an available auction.

### 3.2 Auction Duration

Every auction runs for exactly 24 hours from the timestamp of its first accepted bid.

The auction closes automatically when the 24-hour period expires.

The Seller with the highest valid bid at the time of closure wins the advertising position.

If an auction has no bids, it remains available for a Seller to initiate.

### 3.3 Independent Auctions

Each of the four positions has its own auction.

For example, PUBG Mobile position #1 and PUBG Mobile position #2 are separate auctions. A Seller may participate in either or both, subject to sufficient available wallet funds.

The same principle applies across different games and marketplace categories.

### 3.4 Auction Closure

Once an auction closes:

- The highest valid bidder becomes the winner.
- The winning bid amount is deducted from the Seller's reserved Available Wallet balance.
- The Seller receives a winning notification.
- The advertising allocation process begins.

The Platform's recorded auction timestamps and accepted bid history determine the auction result.

## 4. BIDDING RULES AND MINIMUM INCREASES

### 4.1 Minimum Opening Bid

The first accepted bid for any available advertising position must be at least $3 USD.

### 4.2 Subsequent Bids

Every subsequent bid must be at least 10% higher than the previous highest accepted bid.

Examples:

| Previous highest bid | Minimum next bid |
|---|---|
| $3.00 | $3.30 |
| $10.00 | $11.00 |
| $50.00 | $55.00 |
| $100.00 | $110.00 |
| $250.00 | $275.00 |

A Seller cannot submit a bid below the required minimum increase.

The Platform automatically calculates the minimum acceptable next bid.

### 4.3 Maximum Automatic Bid

Sellers may specify a maximum amount they are willing to commit to an advertising position.

The Platform's automatic bidding system can place bids on their behalf, up to the maximum amount authorized by the Seller.

The maximum bid represents the Seller's committed bidding limit and must be fully supported by sufficient Available Wallet funds.

The automatic bidding system must respect the 10% minimum bidding increase.

For example:

- Seller A commits a maximum bid of $100.
- Seller A's $100 commitment is treated as their actual maximum authorized bid.
- Seller B submits a bid of $110.
- Seller A is outbid.
- Seller A's $100 reservation is released back into their Available Wallet.
- Seller A receives an outbid notification.

The system must never exceed the maximum amount authorized by a Seller.

The winning Seller pays their final accepted winning bid, not an unused portion of their maximum authorization.

### 4.4 No Bid Withdrawal

Once a bid has been accepted, the Seller cannot voluntarily withdraw or cancel it.

If another Seller successfully outbids them, their previous reservation is released according to the Platform's wallet rules.

If the Seller wins, the winning payment becomes non-refundable under this agreement.

## 5. ANONYMOUS BIDDING

The identity of competing Sellers must remain anonymous to other auction participants.

Sellers may see:

- The current highest bid.
- The minimum next acceptable bid.
- The remaining auction time.
- Whether they currently hold the highest bid.
- Whether they have been outbid.

Sellers must not see the usernames, nicknames, User IDs, personal information, or other identifying details of competing bidders.

FLIPITDIGITAL administrators may access bidder identities and bidding histories for legitimate operational, financial, fraud-prevention, and investigation purposes, subject to their administrative permissions.

## 6. AVAILABLE WALLET AND BIDDING PAYMENTS

Only eligible funds in the Seller's Available Wallet may be used for advertising auctions.

The following balances cannot be used:

- Floating Balance.
- Funds currently subject to an Insurance Period.
- Frozen or restricted funds.
- Funds otherwise unavailable for withdrawal.

Sellers must have sufficient Available Wallet funds before participating in an auction.

If their Available Wallet balance is insufficient, they must top up their site wallet through the available payment methods before bidding.

### 6.1 Reserving Bid Amounts

When a bid is accepted, the required amount is reserved from the Seller's Available Wallet.

Reserved funds cannot be spent on another transaction while the reservation is active.

If the Seller is outbid:

- Their previous reservation is released.
- The released funds return to their Available Wallet.
- They may use those funds for another eligible transaction or auction.

If the Seller wins:

- The winning bid amount is deducted from the reserved funds.
- The payment is recorded in the Platform's financial ledger.

### 6.2 Multiple Active Auctions

Sellers may participate in multiple auctions simultaneously, including different positions within the same category and positions across different categories.

However, they must have sufficient Available Wallet funds to cover all their active bid reservations.

The same funds cannot be reserved twice.

FLIPITDIGITAL's backend financial records and Available Wallet balance are authoritative.

## 7. WINNING AN AUCTION AND ADVERTISING ALLOCATION

Winning an auction does not automatically publish a listing.

The winning Seller must select an eligible existing marketplace listing and confirm its use for the advertising allocation.

The Seller receives access to the allocation for the exact category or subcategory and position they won.

For example:

A Seller who wins PUBG Mobile position #1 may only use that allocation for an eligible PUBG Mobile listing belonging to their own account.

The Seller cannot transfer, sell, exchange, or use the allocation for another category, game, or advertising position.

### 7.1 Two-Hour Listing Selection Window

After the auction closes, the winning Seller receives an initial two-hour period to select and confirm an eligible listing through:

Seller Dashboard → Manage Offers → Three-Dot Menu → ADVERTISE WITH MY WINNING SLOT

The Seller must review the listing carefully before confirming it.

### 7.2 Failure to Select Within Two Hours

If the Seller does not select and confirm a listing within the initial two-hour period:

- The Platform sends a warning notification.
- The Seller is informed that their 15-day advertising allocation period has started.
- The Platform does not automatically publish a listing.
- The advertising position remains reserved for that Seller for an additional 24 hours.

The 15-day advertising countdown begins when the initial two-hour selection window expires, even if the Seller has not selected a listing.

### 7.3 Additional 24-Hour Grace Period

During the additional 24-hour period, the Seller may still select and confirm an eligible listing.

If they do so, the listing is published in the allocated position for the remaining duration of the original 15-day advertising period.

The 15-day countdown does not restart when the Seller eventually selects the listing.

If the Seller fails to select a listing before the additional 24-hour period expires:

- The advertising allocation is terminated.
- The advertising position becomes available for a new auction.
- The Seller receives a notification explaining that the allocation was not used.
- The Seller is directed to open a Support Ticket and contact Customer Support if they wish to explain their situation.

No refund is issued, including when the Seller fails to select a listing.

## 8. ADVERTISING DURATION

A confirmed advertising allocation has a maximum duration of 15 days.

If the Seller selects and confirms a listing within the initial two-hour selection window, the 15-day period begins immediately upon confirmation.

If the Seller fails to select within two hours, the 15-day period begins automatically at the end of that initial window, as explained in Section 7.

The advertising period does not restart because of:

- Delayed listing selection.
- Listing price changes.
- Seller account activity.
- Listing views or clicks.
- Other Seller actions that do not change the allocation's validity.

Once the advertising period expires, the advertising placement ends and becomes available for another auction.

## 9. LISTING REQUIREMENTS AND ADVERTISING RESTRICTIONS

The Seller must select an eligible listing that:

- Belongs to the Seller's own account.
- Is within the exact category or subcategory for which the Seller won the auction.
- Is active, published, and available.
- Meets the Platform's normal listing requirements.
- Is not already committed to another incompatible advertising allocation.

The Platform may reject listings that do not meet these requirements.

### 9.1 No Public Advertising Badge

FLIPITDIGITAL will not display an advertising, sponsored, promoted, or paid-placement badge on the advertised listing under the current advertising design.

The advertisement will appear in the position purchased through the auction without publicly identifying the Seller's participation in the bidding system.

### 9.2 Listing Lock After Confirmation

Before confirming an advertising listing, the Seller must carefully review all listing information.

Once the listing has been confirmed for an advertising allocation, its material information becomes locked for the duration of that allocation.

The Seller cannot change:

- Listing title.
- Listing description.
- Category or subcategory.
- Product or game selection.
- Account or service details.
- Material listing attributes.
- Images or other material listing content.
- Other information that materially changes what is being offered.

### 9.3 Permitted Price Changes

The Seller may still change the listing price while it is being advertised.

The updated price must be reflected in the live marketplace listing.

A price change does not restart or extend the advertising period.

The Platform may restrict changes that would violate other marketplace pricing, discount, or financial rules.

## 10. ADVERTISING POSITION AND LISTING VISIBILITY

An advertised listing appears in the specific marketplace category or subcategory and advertising position won by the Seller.

For example:

- Winning PUBG Mobile #1 places the listing in the first advertising position on the PUBG Mobile page.
- Winning PUBG Mobile #3 places the listing in the third advertising position on the PUBG Mobile page.
- Winning Fortnite #1 places the listing in the first advertising position on the Fortnite page.

The four advertising positions are separate and independently allocated.

Under the current system, these positions appear before the normal marketplace listings within their respective sections.

The advertising allocation does not provide additional advertising rights in unrelated categories, subcategories, or homepage placements.

Homepage advertising opportunities may be introduced separately in the future.

## 11. NO REFUNDS

All winning advertising payments are final and non-refundable under the normal advertising rules.

Once a Seller wins an auction and the winning payment is deducted, the payment cannot be refunded under the normal advertising rules.

No refund is issued in circumstances including:

- The Seller changes their mind.
- The Seller fails to select a listing.
- The Seller fails to use their advertising allocation.
- The Seller's listing receives fewer views, clicks, inquiries, or sales than expected.
- The Seller's listing sells before the 15-day period expires.
- The Seller voluntarily unlists the listing.
- The Seller's account is banned or restricted.
- The listing is removed by FLIPITDIGITAL administration.
- The Seller fails to resolve a listing availability issue during the applicable grace period.
- The advertising position is released because the Seller failed to use their allocation.

The Seller acknowledges that advertising is a paid promotional opportunity, not a guarantee of traffic, visibility beyond the allocated position, inquiries, conversions, or sales.

Nothing in this section removes any mandatory consumer or legal rights that cannot lawfully be excluded.

## 12. EARLY RELEASE WHEN A LISTING IS SOLD

If the advertised listing is successfully sold during its advertising period:

- The listing is no longer available for advertising.
- Its advertising allocation ends.
- The advertising position becomes available for another auction.
- Another Seller may initiate a new auction for that position.

The original Seller does not receive a refund or compensation for unused advertising time.

The Seller understands that a successful sale may result in the advertising position becoming available earlier than the original 15-day expiration date.

## 13. LISTING UNAVAILABILITY AND SIX-HOUR GRACE PERIOD

If an advertised listing becomes unavailable for a reason other than a successful sale, the following procedure applies.

Examples include:

- The Seller manually unlists the offer.
- The Seller's account becomes banned or restricted.
- FLIPITDIGITAL administration removes the listing for violating marketplace rules.
- Another applicable platform action makes the listing unavailable.

### 13.1 Immediate Notification

The Seller must receive a notification explaining that their advertising listing has become unavailable.

A six-hour grace period begins from the recorded time the listing becomes unavailable.

### 13.2 Seller Responsibility

The Seller must immediately contact FLIPITDIGITAL Customer Support and attempt to resolve the issue within the six-hour period.

The Seller must provide any information or evidence requested by the support team.

### 13.3 Failure to Resolve

If the issue is not resolved within six hours:

- The advertising allocation may be terminated.
- The advertising position becomes available for another auction.
- The Seller receives a notification explaining the termination.
- No refund is issued.

If the issue is successfully resolved within the grace period, the allocation may continue, subject to the original advertising expiration time and the Platform's decision regarding eligibility.

The six-hour grace period does not automatically extend the 15-day advertising duration.

## 14. SELLER RESPONSIBILITIES

By participating in advertising auctions, the Seller agrees to:

- Maintain sufficient Available Wallet funds for their bids.
- Review auction information before participating.
- Understand the financial commitment associated with each bid.
- Select an eligible listing for the position won.
- Review the listing carefully before confirming it.
- Comply with the listing-lock restrictions.
- Maintain the listing's accuracy and compliance with marketplace rules.
- Respond promptly to advertising-related notifications.
- Contact Customer Support when an advertising listing becomes unavailable.
- Follow all applicable FLIPITDIGITAL marketplace policies and Seller Agreement requirements.

Sellers must not manipulate auctions, coordinate artificial bidding activity, exploit technical vulnerabilities, or engage in fraudulent bidding practices.

## 15. OUTBID NOTIFICATIONS AND ADVERTISING NOTIFICATIONS

FLIPITDIGITAL uses its existing notification infrastructure to notify Sellers about relevant advertising events.

Notifications may include:

- Another Seller has outbid you.
- Your bid is currently the highest bid.
- You have won an advertising auction.
- You have not won an advertising auction.
- Your two-hour listing selection period has expired.
- Your 15-day advertising period has started.
- Your listing selection deadline is approaching.
- Your advertising listing has been published.
- Your advertised listing has been sold.
- Your advertised listing has become unavailable.
- Your six-hour grace period has started.
- Your advertising allocation has been terminated.
- Your advertising position is available again.

The Seller is responsible for monitoring their account notifications and advertising allocation status.

## 16. MULTIPLE AUCTIONS AND ALLOCATIONS

A Seller may participate in multiple auctions simultaneously.

A Seller may win multiple advertising positions, including positions across different games and categories.

Each winning allocation is independent and subject to its own:

- Auction result.
- Winning payment.
- Listing selection period.
- Advertising duration.
- Listing eligibility.
- Listing lock.
- Expiration or early termination conditions.

Winning one allocation does not automatically provide any benefit or exemption in another auction.

Each active bid reservation must be fully funded by the Seller's Available Wallet.

## 17. FLIPITDIGITAL ADMINISTRATIVE AUTHORITY

FLIPITDIGITAL maintains administrative control over its advertising system.

The Main Admin and appropriately authorized administrative roles may manage advertising operations according to their assigned permissions.

The Main Admin may configure:

- Advertising-eligible categories and subcategories.
- Number and availability of advertising positions.
- Minimum opening bids.
- Minimum bidding increments.
- Auction durations.
- Advertising durations.
- Other applicable advertising settings.

The Main Admin may also review:

- Active and completed auctions.
- Bid histories.
- Winning Sellers.
- Advertising allocations.
- Advertising payment records.
- Seller advertising activity.
- Relevant financial reservations and transactions.

### 17.1 Exceptional Administrative Intervention

FLIPITDIGITAL reserves the right to pause, disable, or cancel auctions in exceptional circumstances, including:

- Technical errors.
- Fraudulent or manipulative bidding.
- Security incidents.
- Incorrect auction configuration.
- Marketplace policy violations.
- Other operational circumstances requiring intervention.

Administrative actions must be recorded in the Platform's audit logs.

The Platform may remove or terminate an advertising placement if the Seller or advertised listing violates applicable marketplace rules.

No advertising refund is automatically created by administrative intervention. Any exceptional financial correction must be handled through the Platform's authorized financial procedures and applicable legal obligations.

## 18. FINANCIAL RECORDS AND TRANSACTION HISTORY

All advertising bids, reservations, winning payments, and relevant adjustments must be recorded in the Seller's financial history.

The Platform maintains records of:

- Auction ID.
- Advertising category and subcategory.
- Advertising position.
- Seller ID.
- Bid amounts.
- Bid timestamps.
- Maximum authorized bid.
- Reserved funds.
- Released reservations.
- Final winning bid.
- Advertising payment.
- Allocation start and expiration times.
- Relevant listing ID.
- Refund or adjustment records, where legally or administratively applicable.

The Seller may view relevant advertising information through the Seller Dashboard.

All financial calculations and transaction records maintained by FLIPITDIGITAL's backend are authoritative.

## 19. LIMITATION OF ADVERTISING RESULTS

FLIPITDIGITAL provides an advertising position, not a guarantee of commercial success.

Winning an advertising auction does not guarantee:

- A specific number of listing views.
- A specific number of visitors.
- A specific number of inquiries.
- A sale or completed transaction.
- A particular conversion rate.
- A specific amount of revenue.
- That the Seller will recover their advertising expenditure.

Actual results depend on Buyer activity, marketplace demand, listing quality, pricing, competition, and other factors outside the Platform's complete control.

## 20. AGREEMENT CHANGES AND UPDATES

FLIPITDIGITAL may update these Terms and Conditions to reflect changes in the advertising system, marketplace operations, legal requirements, or administrative procedures.

Material changes must be communicated to affected Sellers through the Platform's existing notification system or another appropriate communication method.

Where a material change requires renewed acceptance, Sellers must accept the updated agreement before participating in further advertising auctions.

The Platform must retain previous agreement versions and the Seller's acceptance history.

## 21. ACCOUNTABILITY AND DISPUTES

Questions, complaints, or disputes concerning advertising auctions, winning allocations, wallet reservations, listing restrictions, or advertising termination must be submitted through FLIPITDIGITAL's existing Support Ticket system.

The Seller must provide the relevant auction ID, advertising position, listing ID, and any supporting information available.

Customer Support may investigate and escalate the case to the relevant Category Manager, Main Admin, or another authorized administrator.

All disputes are reviewed under the applicable FLIPITDIGITAL policies and procedures.

Opening multiple tickets for the same advertising issue does not create additional rights or change the applicable advertising conditions.

## 22. FINAL SELLER DECLARATION

By accepting this Advertising Agreement, the Seller expressly confirms that:

1. They have read and understood these Terms and Conditions.
2. They understand that each advertising position has an independent auction.

13. They understand that FLIPITDIGITAL does not guarantee advertising results or sales.
14. They agree to comply with this Advertising Agreement and the other applicable FLIPITDIGITAL policies.

By clicking I AGREE AND ACCEPT, I confirm that I have read, understood, and voluntarily accepted the FLIPITDIGITAL Terms and Conditions for Advertisement. I understand that participating in an advertising auction creates a financial commitment and that winning payments are non-refundable under the conditions explained in this agreement.
